4. Termination

5. Miscellaneous

This Agreement constitutes the entire agreement of the parties with respect to the subject matter hereof and supercedes all prior or contemporaneous written or oral agreements between the parties with respect to the subject matter hereof. This Agreement shall be construed in accordance with the laws of the state of Colorado, and parties consent to the jurisdiction of the courts in the district, without regard to its conflict of laws rules.
